Groovie Terms of Service

Website, listener, account, and business-service terms

These Terms of Service (“Terms”) govern access to groovie.live, Groovie listening experiences, accounts, business dashboards, and related services operated by Gooverio Labs LLC (“Gooverio,” “we,” “us”). By using the Service, you agree to these Terms. If you use Groovie for an organization, you represent that you are authorized to bind that organization.

1. Who may use Groovie

You must be at least 13 to create a listener account or use interactive follow features, and at least 18 (or the age of legal majority where you live) to open or administer a business account or enter a paid subscription. Children under 13 may not create accounts, follow stations, submit contact information, or use interactive features directed to individual users.

2. What Groovie provides

Groovie is an autonomous audio platform that may provide continuously programmed stations, business audio, announcements, station imaging, synthetic-host speech, Groovie-produced rights-controlled audio, separately licensed audio, QR-based listening access, follows, and other features. Features may change as the Service evolves.

3. Groovie catalog and listening licenses

Groovie distributes a rights-controlled catalog and other audio that Gooverio is authorized to provide for the applicable use. Personal listeners receive a limited, revocable, non-exclusive right to stream the Service for personal listening. Business users receive public-performance rights only under an active Business Subscriber plan, Founding Partner Agreement, Supported Mode grant, or other written authorization covering the relevant Location.

No user may extract, download for reuse, rebroadcast, resell, sublicense, synchronize, scrape, or redistribute catalog audio except where a Groovie feature or separate written agreement expressly permits it.

4. Accounts and security

You are responsible for accurate account information, safeguarding credentials, promptly updating authorized users, and activity occurring under your account. Notify us promptly at hello@groovie.live if you believe an account or device has been compromised.

5. User and business content

You retain rights you hold in content you submit. You grant Gooverio a non-exclusive license to host, process, reproduce, adapt as technically necessary, synthesize, transmit, display, and otherwise use that content to provide, secure, support, and improve the features you request. You represent that you have the rights and permissions required for the submitted content and its intended use.

Do not submit unlawful, infringing, defamatory, deceptive, harassing, discriminatory, privacy-invasive, confidential third-party, or unauthorized impersonation content. If you submit another person’s name, voice, image, event information, or other identifying content for a shout-out or announcement, you are responsible for having permission appropriate to the intended audience and use.

6. AI-assisted and synthetic content

Groovie may use generative systems and synthetic voices to produce station-host speech, announcements, music, jingles, summaries, and other content. Human-authored elements vary by item and are recorded in Gooverio’s internal provenance systems where applicable. Synthetic or AI-assisted content may be labeled or otherwise disclosed in the Service. Generated factual or promotional content can contain errors; business users should review time-sensitive, regulated, price, safety, or factual statements before scheduling them.

7. Business subscriptions, trials, and recurring billing

Business pricing and plan terms are displayed at checkout or stated in an applicable order form or Founding Partner Agreement. A no-card evaluation does not automatically convert to paid service. We charge a business only after it affirmatively selects a paid plan and authorizes the recurring charge after the material billing terms are presented.

Paid plans renew at the disclosed interval until canceled. Business customers may cancel through the dashboard or another method made at least as accessible as signup. Unless a specific agreement states otherwise, cancellation takes effect at the end of the current paid billing period and stops future recurring charges. Amounts already paid are non-refundable except where required by law or expressly stated otherwise.

8. Groovie Supported Mode

After an eligible no-card evaluation, Gooverio may offer a temporary Supported Mode. Supported Mode requires affirmative opt-in and does not arise from silence. It may include Groovie station IDs, service messages, and Groovie house promotional messages. The duration and scope are disclosed at opt-in; unless another written term applies, it lasts no more than ninety (90) days and may be discontinued by Gooverio on notice or immediately for misuse, security, legal, or rights reasons.

9. Follow features and marketing messages

Following a station allows Groovie to associate your account or device with that station and may affect what you see or hear inside Groovie. A follow alone does not enroll you in promotional email or SMS marketing. Where Groovie or a business offers email or text promotions, we will request separate consent when required and provide the applicable opt-out method. You can unfollow a station using the available account controls.

10. Children and family programming

Groovie may offer family-oriented or children’s programming, but Groovie’s account, follow, business, and direct-marketing features are not intended for children under 13. Do not create an account or submit personal information for a child under 13. If we learn that we collected personal information online from a child under 13 outside an applicable legal exception or parental-consent process, we will take appropriate steps to delete or otherwise address it.

11. Acceptable use

• You may not interfere with, overload, probe, or bypass Service security or access controls;
• You may not reverse engineer, decompile, or attempt to extract source code except where applicable law expressly permits it;
• You may not use automated means to scrape content, listener data, or catalog data without authorization;
• You may not use Groovie to violate privacy, publicity, copyright, trademark, advertising, communications, or other applicable laws;
• You may not misrepresent affiliation with Gooverio, a business, a station host, or another person; or
• You may not use non-public Groovie materials to develop or train a competing service without written authorization.

12. Intellectual property

The Service, software, designs, trademarks, station-host identities, interfaces, non-public documentation, and Gooverio-created content are owned, controlled, or used by Gooverio under applicable rights or licenses. Except for the limited rights expressly granted in these Terms or a business agreement, no rights are transferred to you.

13. Third-party services

Groovie may rely on third-party hosting, payment, analytics, communications, voice synthesis, and other providers. Their services may be subject to their own terms and may affect availability. We are not responsible for third-party services outside our control, but we remain responsible for obligations we expressly undertake to you under applicable law and our agreements.

14. Privacy

Our Privacy Policy explains how we collect, use, disclose, retain, and protect personal information. By using Groovie, you acknowledge those practices and any choices described there.

15. Suspension and termination

We may suspend or terminate access for material breach, unlawful use, security risk, non-payment, rights risk, or conduct that harms the Service or others. Where practicable, we will provide notice and an opportunity to cure. You may stop personal use at any time and may cancel business service as described above. Rights that by their nature should survive termination, including accrued payment obligations, ownership, confidentiality obligations under separate agreements, disclaimers, indemnities, and liability limitations, survive as applicable.

16. Disclaimers

To the maximum extent permitted by law, Groovie is provided “as is” and “as available.” We do not warrant uninterrupted or error-free operation, that every device or network will be compatible, or that generated content will always be accurate. Nothing in this Section limits an express warranty or music-rights indemnity in a separate signed agreement.

17. Limitation of liability

To the maximum extent permitted by law, Gooverio will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages or lost profits, revenues, goodwill, or data. For a paid business user, Gooverio’s aggregate liability under these Terms will not exceed the fees paid or payable for the affected Location during the twelve (12) months before the event giving rise to the claim, except for liabilities that a separate signed agreement expressly places outside that cap or liabilities that cannot lawfully be limited. For a personal listener, Gooverio’s aggregate liability under these Terms will not exceed US$100, except where applicable law requires otherwise.

18. Indemnity

A business user will defend and indemnify Gooverio against third-party claims arising from content the business submits, lack of required permission for a named person or voice, unauthorized public performance or redistribution, or the business’s violation of law or these Terms. Any separate music-rights indemnity from Gooverio is governed by the signed business agreement that grants it.

19. Changes

We may update these Terms prospectively. We will update the date above and provide reasonable notice of material changes to registered or paying users. Changes do not retroactively alter a specific rate lock or negotiated term in a signed agreement.

20. Governing law and order of precedence

These Terms are governed by Massachusetts law without regard to conflict-of-law rules. A Business Subscriber Term, order form, Founding Partner Agreement, enterprise agreement, or other signed Gooverio agreement controls over these Terms to the extent of a conflict for that relationship.
